Welcome to KimiDrop. These Terms of Service ("Terms") constitute a legally binding agreement between you and KimiDrop Inc. ("KimiDrop," "we," "us," or "our") governing your access to and use of the KimiDrop platform, website, services, and applications (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes.
Account Registration
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password and other credentials used to access your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.
We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading, or if you violate any provision of these Terms.
- You must be at least 18 years old to create an account.
- Each user may maintain only one active account unless expressly authorized by KimiDrop.
- You must promptly notify us of any unauthorized use of your account or any other breach of security.
Dropshipping Services
KimiDrop provides a dropshipping platform that enables registered sellers to sell health supplement products without maintaining physical inventory. We source, store, package, and ship products directly to your end customers on your behalf.
Our Services include product catalog access, order management system integration, inventory synchronization, automated order processing, and global logistics fulfillment. Specific features and availability may vary based on your subscription plan and geographic location.
You understand and agree that KimiDrop acts as a fulfillment partner and does not act as a seller or reseller of products. You are the seller of record for all transactions with your end customers, and you bear full responsibility for compliance with all applicable laws and regulations governing the sale of products to consumers.

- We reserve the right to discontinue any product or service offering at any time.
Product Quality
KimiDrop is committed to providing high-quality health supplement products. All products offered through our platform are sourced from manufacturers that hold current Good Manufacturing Practice (cGMP) certifications and, where applicable, are registered with relevant regulatory authorities such as the FDA.
We conduct periodic quality audits and require third-party laboratory testing for product batches to verify purity, potency, and safety. Certificates of Analysis (CoA) and other compliance documentation are made available to registered sellers upon request.
While we make every effort to ensure product quality, KimiDrop does not provide medical advice, and our products are not intended to diagnose, treat, cure, or prevent any disease. You are responsible for ensuring that all product claims made in your marketing materials comply with applicable laws and do not misrepresent the nature or efficacy of the products.
Order Fulfillment
Upon receiving a valid order from your connected store, KimiDrop will process, pick, pack, and ship the ordered items to the designated shipping address. Orders are typically processed within 24 business hours of receipt, excluding weekends and public holidays.
You are responsible for ensuring that all order information transmitted to KimiDrop, including product SKUs, quantities, and shipping addresses, is accurate and complete. KimiDrop is not liable for errors arising from incorrect order data provided by you or your systems.
In the event that an ordered item is out of stock or discontinued after an order has been placed, we will notify you promptly and provide options for substitution, backorder, or cancellation. We reserve the right to cancel and refund any order that cannot be fulfilled due to inventory unavailability.
Shipping & Delivery
KimiDrop utilizes a network of global warehouses and logistics partners to deliver products to end customers. Estimated delivery times vary based on the destination country, shipping method selected, and customs processing times.
Typical delivery timeframes are as follows:
- United States and Canada: 3–7 business days
- United Kingdom and European Union: 3–7 business days
- Australia and New Zealand: 5–10 business days
- Asia-Pacific regions: 5–12 business days
- Other international destinations: 7–20 business days
All shipments include tracking numbers where available. KimiDrop is not responsible for delays caused by customs clearance, incorrect addresses provided by the customer, or events beyond our reasonable control, including but not limited to natural disasters, pandemics, or carrier disruptions.
Returns & Refunds
KimiDrop supports returns and refunds in accordance with the policies you establish for your customers. We offer a 30-day return window for products that are defective, damaged upon arrival, or incorrectly shipped. Return requests must be submitted through the KimiDrop platform with supporting documentation, including photographs where applicable.
For quality-related issues, KimiDrop will provide a full refund or replacement at no additional cost. For non-quality returns (e.g., customer remorse), you may establish your own return policy; however, you remain responsible for any associated restocking or return shipping fees.
Refunds are typically processed within 5–10 business days following approval. The refund will be issued to the original payment method used for the order. KimiDrop reserves the right to refuse returns that do not meet our return criteria or are submitted outside the eligible timeframe.
Payment Terms
You agree to pay all fees and charges associated with your use of the Services in accordance with the pricing and billing terms in effect at the time the fee or charge becomes payable. All fees are quoted in United States Dollars (USD) unless otherwise specified.
KimiDrop charges a transparent fee structure consisting of the product cost, shipping fee, and a per-order processing fee. There are no monthly subscription fees or hidden charges unless you opt into a premium plan that includes such fees. Detailed pricing is available in your account dashboard.
You authorize KimiDrop to charge your designated payment method for all applicable fees. If a payment fails, we may suspend your account and withhold order fulfillment until the outstanding balance is settled. You are responsible for any taxes, duties, or customs fees applicable to your transactions.

- You may update your payment method at any time through your account settings.
- Disputed charges must be reported within 30 days of the transaction date.
Prohibited Activities
You agree not to engage in any of the following prohibited activities while using the Services:
- Violating any applicable local, state, national, or international law or regulation.
- Selling products to jurisdictions where such products are restricted or prohibited.
- Making false, misleading, or unsubstantiated claims about product efficacy or safety.
- Using the Services to distribute spam, malware, or other harmful content.
- Attempting to gain unauthorized access to KimiDrop systems or other users' accounts.
- Reverse engineering, decompiling, or disassembling any aspect of the Services.
- Using automated scripts, bots, or scrapers to access or extract data from the platform.
- Engaging in fraudulent transactions or chargeback abuse.
Violation of these prohibitions may result in immediate suspension or termination of your account, forfeiture of any pending payments, and potential legal action.
Intellectual Property
All content, materials, trademarks, logos, software, and other intellectual property displayed on or accessible through the Services are the property of KimiDrop or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
KimiDrop grants you a limited, non-exclusive, non-transferable, revocable license to use product images, descriptions, and marketing materials provided through the platform solely for the purpose of promoting and selling the products via your own e-commerce channels.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any KimiDrop content without our prior written consent. All rights not expressly granted herein are reserved by KimiDrop.
Limitation of Liability
To the fullest extent permitted by applicable law, KimiDrop and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the Services.
- Any conduct or content of any third party on the Services.
- Any content obtained from the Services.
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall KimiDrop's total liability to you for all claims exceed the amount you paid to KimiDrop in the twelve (12) months preceding the event giving rise to the liability, or one hundred United States Dollars (USD $100), whichever is greater.
Termination
You may terminate your account at any time by contacting our support team or using the account closure feature in your dashboard. Upon termination, your right to use the Services will immediately cease.
KimiDrop reserves the right to suspend or terminate your account, without prior notice or liability, for any reason, including but not limited to a breach of these Terms, fraudulent activity, or prolonged account inactivity.
Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability. Any outstanding balances must be settled prior to account closure.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If such negotiation fails, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
The arbitration shall take place in Wilmington, Delaware, and the language of the arbitration shall be English. The arbitrator's decision shall be final and binding on both parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Changes to Terms
KimiDrop reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Services.
We encourage you to review these Terms periodically to stay informed of any updates. The most current version of the Terms will always be available on our website with the "Last updated" date indicated at the top of the page.
